These Terms & Conditions (“Terms”) govern access to and use of the Cherry Lady online store, Website and related services, as well as purchases made through the Store.

1. Seller Information

The terms “Cherry Lady”, “we”, “us”, “our” and “Seller” refer to JG STUDIO DESIGN operating under the Cherry Lady brand.

The Store is hosted on Shopify's e-commerce platform. Purchases made through the Store are concluded directly between the Customer and JG STUDIO DESIGN / Cherry Lady.

By placing an Order, the Customer confirms that they have had the opportunity to read these Terms and the policies referred to herein before submitting the Order.

Nothing in these Terms excludes, restricts or limits mandatory rights granted to Consumers under applicable law.

2. Definitions

Customer – any natural person, legal person or organisational entity using the Store or placing an Order.

Consumer – a natural person entering into a transaction for purposes outside their trade, business, craft or profession.

Product – a physical product offered through Cherry Lady, including clothing, dancewear, bags and accessories.

Order – an order for one or more Products submitted through the Store.

Store / Website – the Cherry Lady online store available at cherryladywear.com.

Services – the Store and its related functionality, content and features.

3. Use of the Store

Customers must use the Store only for lawful purposes and provide accurate, current and complete information where required.

Customers are responsible for reviewing information entered during checkout before submitting an Order.

Where Customer-account functionality is available, Customers are responsible for maintaining the confidentiality of their login credentials and should notify Cherry Lady if they become aware of unauthorised access.

Cherry Lady may reasonably restrict or suspend access to the Store in cases involving suspected fraud, unlawful activity, security threats, abuse of Store functionality or material violation of these Terms.

4. Products

Cherry Lady makes reasonable efforts to ensure that Product descriptions, photographs, measurements, materials and other Product information are accurate.

Actual colours may vary slightly depending on device, screen settings, lighting and photography.

Due to the characteristics of fabrics, prints, materials and manufacturing processes, minor variations that do not affect conformity of the Product with the sales contract may occur.

Nothing in this section limits statutory Consumer rights concerning Product conformity.

5. Sizing and Fit

Customers are encouraged to review Product descriptions, measurements and size guides before placing an Order.

Fit may vary depending on design, fabric elasticity, construction and individual body shape.

Selection of an incorrect size by the Customer does not in itself constitute a Product defect or lack of conformity.

This does not restrict the Consumer's statutory right of withdrawal.

6. Limited Collections and Availability

Cherry Lady may release Products in limited quantities, seasonal collections, special drops or limited editions.

Product availability is not guaranteed until an Order has been accepted.

Adding a Product to a cart or Wishlist does not reserve it.

Cherry Lady may reasonably limit purchase quantities, including to protect availability of limited collections, prevent fraud or prevent unauthorised commercial resale.

The fact that a Product forms part of a limited collection does not itself affect statutory Consumer rights.

7. Orders and Conclusion of Contract

Submitting an Order constitutes an offer by the Customer to purchase the selected Products.

An automated acknowledgement that an Order has been received does not necessarily constitute final acceptance.

Cherry Lady may verify payment, Product availability and Order information before acceptance.

A sales contract is concluded when Cherry Lady accepts the Order and communicates confirmation of acceptance to the Customer.

Customers should carefully review their Order before submitting it.

Once an Order has entered processing or has been dispatched, Cherry Lady cannot guarantee that a request to modify or cancel it can be accommodated.

This does not affect statutory withdrawal rights.

8. Right to Refuse or Cancel Orders

Cherry Lady may refuse, limit or cancel an Order where there is a legitimate reason, including:

• Product unavailability;
• unsuccessful, declined or unauthorised payment;
• materially incorrect or incomplete Customer information;
• an obvious pricing, technical or Product-description error;
• reasonable suspicion of fraud or unlawful activity;
• suspected unauthorised commercial resale;
• misuse or manipulation of promotions or discount codes;
• security concerns;
• material violation of these Terms; or
• circumstances preventing lawful fulfilment of the Order.

If Cherry Lady cancels an Order after payment has been received, the amount paid for the cancelled Products will be refunded.

9. Errors and Inaccuracies

The Store may occasionally contain typographical, technical, pricing, availability or other unintended errors.

Cherry Lady may correct such errors and update information.

Where an obvious error materially affects an Order, Cherry Lady may contact the Customer to resolve the issue or, where legally permitted, cancel the affected Order and refund amounts paid.

Nothing in this section permits Cherry Lady to unilaterally alter a concluded Consumer contract where prohibited by law.

10. Prices

Prices are displayed in the currency applicable to the relevant Store market.

The total amount payable, including applicable delivery charges and other mandatory costs collected by Cherry Lady, will be displayed before submission of the Order.

Cherry Lady may change prices for future Orders at any time.

Price changes do not affect contracts already concluded.

Where required by applicable law, information concerning the prior price will be displayed in connection with a price reduction.

11. Promotions and Discount Codes

Cherry Lady may offer discount codes, promotions, gifts, free shipping or other promotional benefits.

Promotions may be subject to separate conditions communicated together with the relevant offer.

Unless expressly stated otherwise:

• promotional codes cannot be exchanged for cash;
• discounts apply only to eligible Products and Orders;
• codes may not be combined;
• codes may be limited to one use per Customer;
• promotions apply only during their stated validity period; and
• promotions may be restricted by territory, collection, Product or minimum Order value.

Cherry Lady may refuse a promotional benefit where there is reasonable evidence of fraud, manipulation, unauthorised duplication or abuse.

Where a Product purchased at a discount is returned, any refund will be based on the amount actually paid for that Product, subject to applicable law.

12. Payments

Available payment methods are displayed during checkout and may vary depending on country, currency, device and payment-provider availability.

Customers represent that they are authorised to use their selected payment method.

Cherry Lady may withhold processing where payment has not been successfully authorised or reasonable security verification is required.

Payments may be processed through Shopify Payments and/or other authorised payment providers.

Cherry Lady generally does not receive or store full payment-card information where such information is submitted directly to a payment provider.

13. Shipping and Delivery

Orders are dispatched from Poland using delivery methods available through the Store.

Available methods, applicable costs and estimated delivery times are displayed before the Order is submitted.

Delivery estimates are not guaranteed unless expressly stated otherwise.

Mandatory Consumer rights concerning delivery remain unaffected.

14. Customer-Provided Delivery Information

Customers are responsible for providing complete and accurate delivery information.

If an Order cannot be delivered because the Customer provided materially incorrect or incomplete information, or failed to collect the parcel where collection was required, Cherry Lady may require payment of reasonable additional costs actually incurred as a result, to the extent permitted by law.

If you discover an error in your delivery details, contact contact@cherryladywear.com as soon as possible.

Changes cannot be guaranteed once an Order has been processed or dispatched.

15. Right of Withdrawal

Consumers purchasing Products online generally have a statutory right to withdraw from the sales contract without providing a reason within 14 days of receiving the Product, subject to statutory exceptions. Cherry Lady does not voluntarily extend this statutory period.

16. Personalized and Custom Products

The statutory right of withdrawal does not apply where an exception provided by applicable law applies.

This may include Products made according to the Consumer's specifications or clearly intended to satisfy the Consumer's individual needs.

Where such an exception applies to a Product, relevant information will be provided before purchase.

17. Return Condition and Reduction in Value

A Consumer may inspect and try on a Product to the extent reasonably necessary to establish its nature, characteristics and functioning.

Where handling goes beyond what is reasonably necessary and causes a reduction in Product value, the Consumer may be responsible for that reduction to the extent permitted by applicable law.

18. Product Conformity and Complaints

Cherry Lady is responsible for the conformity of Products with the sales contract in accordance with applicable Consumer law.

Where a Product does not conform to the sales contract, Consumers may exercise statutory remedies available under applicable law.

Submission of a complaint does not automatically entitle the Customer to a refund. The appropriate statutory remedy depends on the circumstances and applicable law.

19. Product Care, Damage and Wear

Customers should follow Product care, washing, storage and usage instructions.

An issue caused solely by circumstances arising after delivery and attributable to the Customer does not constitute a lack of conformity for which Cherry Lady is responsible.

Depending on the circumstances, this may include:

• ordinary wear and tear;
• incorrect washing or cleaning;
• failure to follow care instructions;
• accidental or mechanical damage after delivery;
• misuse;
• alterations;
• improper storage; or
• use contrary to the Product's intended purpose.

Each complaint will be assessed individually in accordance with applicable law.

20. No Additional Commercial Guarantee

Unless expressly stated otherwise for a particular Product, Cherry Lady does not provide a voluntary commercial guarantee in addition to mandatory statutory Consumer rights.

Nothing in this section limits statutory rights concerning Product conformity.

21. Intellectual Property

The Cherry Lady name, logos, visual identity, original graphics, illustrations, Product graphics and prints, photographs, videos, texts and other original creative materials may be protected by intellectual-property laws.

Unless permitted by law or authorised by the relevant rights holder, protected content may not be copied, reproduced, modified, distributed, commercially exploited, scraped, published or used to create derivative commercial materials.

22. Prohibited Uses

The Store may not be used:

• for unlawful or fraudulent purposes;
• to infringe intellectual-property or other third-party rights;
• to transmit malware or harmful code;
• to obtain unauthorised access;
• to interfere with Store security or functionality;
• to collect personal data unlawfully;
• for phishing, spam or deceptive activity;
• to impersonate another person;
• to manipulate promotions or Store functionality; or
• for unauthorised systematic scraping or extraction.

Cherry Lady may take reasonable measures to prevent prohibited use.

23. Reviews, Feedback and Customer Content

Where Customers can submit reviews, photographs, comments or other content, they must have the necessary rights to submit that content.

Content must not be unlawful, infringe third-party rights, contain malicious software, impersonate another person or intentionally contain materially false or misleading information.

Cherry Lady may moderate or remove content where reasonably necessary for legal, security or Store-integrity purposes.

Where a Customer voluntarily submits content for publication, they grant Cherry Lady a non-exclusive, worldwide, royalty-free licence to reproduce and display that content for purposes connected with operating and promoting Cherry Lady, subject to applicable law and applicable personal-data or image rights.

24. Third-Party Services and Links

The Store may use or provide access to independent third-party services.

Third-party services may be subject to their own terms and privacy policies.

To the extent permitted by law, Cherry Lady is not responsible for independent third-party websites, content or services outside its control.

This does not limit obligations that applicable Consumer law places directly on Cherry Lady as Seller.

25. Shopify

The Store is hosted by Shopify, which provides technology enabling Cherry Lady to operate the Store.

Sales of Cherry Lady Products are concluded directly between Customers and JG STUDIO DESIGN / Cherry Lady. Shopify is not the Seller of Cherry Lady Products.

Shopify also processes certain information relating to visits to and purchases through Shopify-hosted stores. Further information is provided in our Privacy Policy. Shopify currently requires merchants using Shopify Network Intelligence to disclose Shopify's role in both their Terms and Privacy Policy.

26. Store Availability

Cherry Lady does not guarantee continuous or uninterrupted availability of the Website.

The Store may temporarily be unavailable due to maintenance, updates, technical failures, security incidents or circumstances outside Cherry Lady's reasonable control.

To the extent permitted by law, Cherry Lady is not liable for temporary Store unavailability resulting from circumstances outside its reasonable control.

27. Limitation of Liability

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by applicable law.

To the extent permitted by applicable law, Cherry Lady is not responsible for loss or damage resulting solely from:

• misuse of a Product;
• failure to follow care or usage instructions;
• materially incorrect information supplied by the Customer;
• unauthorised modification of a Product;
• prohibited or unlawful use of the Store;
• circumstances outside Cherry Lady's reasonable control; or
• independent third-party services outside Cherry Lady's control.

Nothing in this section limits mandatory Consumer rights concerning Products, Orders, delivery or Product conformity.

28. Events Outside Our Reasonable Control

To the extent permitted by law, Cherry Lady will not be responsible for failure or delay caused by circumstances outside its reasonable control, including serious transport disruption, natural disasters, severe weather, governmental restrictions, major telecommunications failures or comparable events.

Cherry Lady will take reasonable steps to minimise their impact where appropriate.

Mandatory Consumer rights remain unaffected.

29. Personal Data

Personal data is processed in accordance with our Privacy Policy and applicable data-protection law.

30. Severability

If a provision of these Terms is found to be invalid, unlawful or unenforceable, it will apply only to the extent legally permissible and, where appropriate, will be treated as severed.

The remaining provisions continue to apply.

31. No Waiver

Failure by Cherry Lady to exercise a right does not automatically constitute a waiver of that right.

32. Governing Law

These Terms and sales contracts concluded through the Store are governed by Polish law.

Where a Consumer habitually resides in another country, this choice does not deprive that Consumer of mandatory protection afforded by provisions that cannot be derogated from by agreement and that would otherwise apply.

33. Consumer Disputes

Consumers may use legally available judicial and out-of-court dispute-resolution mechanisms.

Nothing in these Terms restricts mandatory rights to seek assistance from competent Consumer-protection authorities.

34. Changes to These Terms

Cherry Lady may update these Terms for future use where reasonably necessary due to changes in law, Store functionality, technology, payment or delivery arrangements, Products or business operations.

Changes do not retroactively modify concluded sales contracts unless permitted or required by law.
